State Bank of India, Shanghai Branch invites Expression of Interest (EOI)/Technical bid & financial bid from well reputed audit firm for conduct of annual audit of our Shanghai branch and Tianjin branch for the financial year ending 31st December 2017 as per Chinese Financial Year and as on 31st March 2018 as per Indian Financial Year.  The scope of work includes two Annual Audits as stated above, Tax Audit, Long Form Audit Report and other miscellaneous work as per local regulators requirement in China and as per the requirement of our home country regulators. 


The interested  audit firms are requested to submit technical and financial bids separately. EOIs (super-scribed; EOI for proposal for SBI specific scope of work of conducting annual audit;) must be submitted to AVP Compliance, State Bank of India, 4206, K Wah Centre, 1010, Huai Hai Zhong Road, Shanghai latest by 30th June 2017 with a brief write about the company, qualification, expertise, experience etc.

As part of compliance requirement, in order to strengthen AML /CFT measures, it has been decided to provide cross border remittance facility exclusively for our customers, which will be complied with effect from 01 May 2017. Those who do not have account with us and have been utilizing our services only for sending cross border remittances  either by remitting cash at our branch or using transfer route of crediting to our account with BOC/ICBC/CMB are requested to open their personal account with us on or before the end of April 2017. Scope of Work/Service

Phase I. Preparation of SBI China operations for transition from Business Tax to Value Added Tax (B2V)

1. Impact Study Review

To conduct impact study based on the background information provided by SBI management, in order to study the impact on profit, income and indirect tax position due to B2V transition.

To interview with our finance, tax, operational, IT and business departments and prepare the interview summary (e.g. meeting minutes) to record the major business activities, operation process flow, settlement method and procedure, accounting treatment and procedure, invoice issuance, settings and logics of banking system, tax treatment and invoice arrangement of customers and suppliers. To review and identify the potential key impacts regarding the B2V transformation.

Hold a B2V Project launch meeting with management of SBI Shanghai (SBI SH) to discuss the key B2V tasks and work allocation. Prepare and provide an information request list to SBI SH management in order to have an in-depth understanding of the business and transactions of SBI SH. Obtain and review the information/documents provided, including basic information, major business operations, key contracts, etc,. Discuss with SBI SH management to agree on the interview plan, including the personnel attending the interview, timing, etc,. To conduct interview and discuss with SBI SH’s key personnel in finance, tax, operational, IT and business departments with regard to SBI SH’s service scope and nature, operation model, financial model and procedures, system settings, including Major business activities, operation process flow, revenue and expense, composition n of customers, suppliers and their negotiation power, settlement method and procedure, accounting treatment and procedure, invoice issuance, settings and logics of banking system, tax treatment and invoice arrangement of customers and suppliers, etc,. Review and identify potential key impacts from both the customer and supplier side. Advise SBI SH management in preparing the information request form to customers/suppliers to collect additional information required. Conduct an analysis of our business operations from B2V policy perspective, including possible and desired VAT positions for all types of income, cost, and expenses. In-depth analysis and provide comment on the key uncertainties, key areas concerned by SBI SH and alternative VAT treatments, if any. Provide the template of financial impact study for our management to prepare the numerical simulation based on our bank’s financial data, so as to help our management assess the potential turnover tax and profit impacts based on the position on the possible VAT treatments; - Summarize the above review results in a report in PPT/Excel format; - A follow-up meeting to discuss with our management about the impact; Set-up a hotline to reply to any queries during the study.


2. Gap Analysis

Based on the Impact Study and information collected during the performance of Impact Study, to conduct a Gap Analysis of our business operations. The Gap Analysis should focus on areas more from operation perspective, with the aim to identify gaps in the internal processes and policies.

The Gap Analysis shall cover the following aspects:

Revenue, cost, expense - Supply chain, including customer, supplier, transaction, business flow (both domestic and overseas level) - Voucher settlement and invoicing arrangement - Accounting treatment - Compliance requirement (e.g. timing of VAT obligation, input VAT verification, red VAT invoice issuance, input VAT transfer out, etc.) - Impacted policies and procedure - Impacted banking system.

The detailed work of the GAP Analysis includes:

To identify potential key impacts from both the customer and supplier side and business flow, such as selecting supplier, pricing strategy and bargaining power, invoicing and settlement arrangements. Based on the interview with relevant departments, in terms of major business activities, operation process flow, settlement method and procedure, accounting treatment and procedure, invoice issuance, setting and logics of banking system, etc., further conduct discussion with relevant department to identify the following impact and provide relevant suggestions to identify the impact to accounting treatment and provide suggestions to finance department for the accounting treatment after B2V, to identify the impact to purchase and draft the purchase policy, to identify the impact to reimbursement and draft the reimbursement policy, to identify the impact to invoice management and draft the invoice management policy, Summarize the above review results and suggest risk control points in a report in PPT/Excel format. A follow-up meeting to discuss with SBI SH management about the gaps and based on the Gap Analysis, further advise on a high-level implementation plan.


3. A Contract Review (key contracts of each type of transactions)

In order to mitigate/reduce tax exposure and achieve tax efficiency, to review the key contracts of each type of transactions from an indirect tax perspective, including the following:

Review key contracts of each type of transactions and relevant information contained. Discuss with SBI SH management to fully understand the background and commercial considerations of the contract. Based on the assumption of possible VAT treatments after B2V, assist SBI SH management in technical analysis on the indirect tax implications and identify potential indirect tax risks and inefficiency under the pricing, tax and service scope term of the contract, if any. Explore the alternatives or provide suggestions in order to mitigate the potential turnover tax risks or achieve turnover tax efficiency. Provide suggestions for pricing strategy, contract negotiation and modification. To summarize the review result, analysis, comments and suggestions in a report in Excel/Word format and a follow-up meeting with SBI SH management to discuss about the review of the contract.


4. System and Data Gap Analysis

Attend discussion/workshop with SBI SH’s finance, tax, operational, IT and business departments to understand the system and data flow supporting the bank’s service and product in terms of revenue recognition with VAT taxable focus and impact. With reference to Gap Analysis, prepare system and data gap analysis with the following areas of focus.

Identify and confirm the application systems with VAT impacts, for e.g. accounting system, customer information system and etc,. Assess the current system function and data readiness with reference to VAT tax calculation and invoice issuance requirement. Prepare system and data gap analysis covering system function, data availability and data readiness and etc.

Deliverables under Phase I

A report in covering the review results under Impact Study; - A report covering the review results under Gap Analysis. A report covering the review results under System and Data Gap. A report covering the review results, analysis, comments and suggestions under Contract Review. Implementation plan (outline). Meetings to discuss about the impact and result of GAP analysis/findings and of contract review; - Submission to authorities for desired VAT policy on a high level basis. Set-up a hotline to reply to any queries during Phase I.


Phase II– Implementation Assistance

Upon the completion of Phase I, to draft internal policies like purchase policy, reimbursement policy, invoice management policy etc and banking system in order to get well prepared for the B2V transition. After the B2V policies published, to advise on a detailed implementation plan and assist SBI SH in the implementation.

To advise SBI SH management on drafting VAT brochure, containing major VAT policy, the VAT treatment for specific services, pricing strategy, major tax and accounting Q&A regarding B2V so as to assist the B2V implementation smoothly.

Provide technical support and review comments/recommendation on the changes to the following processes as proposed by  SBI SH management: - Change of pricing; -  Negotiation and revision of contract. Conclusion of new contract, Change of business flow, Change of invoicing and settlement arrangements, Change of accounting treatment and finance flow, Change of turnover tax compliance process, Drafting of purchase policy, reimbursement policy and invoice management policy;


2. System Assistance

Discuss high level system solution based on the bank’s current system and data situation; - Share market information for selection of key vendors both VAT platform vendor and Golden Tax system vendor:  - If the bank decides to implement a VAT platform to calculate VAT taxable amount and generate invoicing data file, assist the bank in selecting VAT platform vendors - Assist the bank in selecting Golden Tax system vendors


3. VAT Training (3 times for finance and other staff)

Prepare tailored-made training materials and provide 3 trainings/workshops based on requirements of SBI SH, which may include:

Training to Finance department: Training within finance and tax department regarding the VAT treatments and potential impacts brought by the newly-released B2V rule. Training on accounting treatment and Training on VAT compliance and management requirements.

Training to other departments on Basic B2V regime: Introduction of responsibilities of various operating staff in credit department, trade finance department after B2V, such as invoicing and settlement arrangement, contract pricing negotiation principles and Update of IT system.


4. Technical Support in VAT Compliance Matters

During the B2V transition, advise on and provide support to accompany our staff in the following VAT compliance matters:

Change of turnover tax payer status update.

Application of General VAT Payer status.

Arrange initial training as required by the Tax Bureau (TB) for VAT system handling and invoice issuance. Perform VAT invoice assessment through the in-charge TB under the permissible quota and volume, including submitting application documents, obtaining the approval for VAT invoices, etc. Purchase of VAT invoice, VAT invoice system/instruments and coordinate the installation of instruments; Train finance people how to issue VAT invoice and perform VAT invoice verification for the first month after the B2V transition.

Deliverables under Phase II:

Detailed implementation plan; - Technical support on drafting of internal policies as mentioned under “2.1 Technical Support on Internal Policies”; -VAT brochure, containing major VAT policy, the VAT treatment for specific services, pricing strategy, major tax and accounting Q&A regarding B2V.

A high-level system solution: Tailored-made training materials, Set-up a hotline to reply to any queries during the Phase II.


Phase III – Post-B2V Assistance

1. Establish B2V Rules Database

To Guide in establishing a B2V rules database, covering B2V rules related to banking/financial industry for a minimum period of 6 months after the official implementation of B2V.  The circulars in the database to include all those information which are made publicly available by the following authorities: The State Council, The Ministry of Finance (“MOF”) and The State Administration of Taxation (“SAT”).  The contents of the circulars to be translated and provided to SBI SH in English; - The database to be in WORD or EXCEL format.

2. VAT Compliance Review

To assist in review of VAT compliance steps and processes as performed by our finance and tax personnel after SBI SH handles VAT compliance for 3 months, covering the following:

Reviewing the VAT returns prepared by SBI SH for the first 3 months; - Reviewing the invoice management processes (purchase, issuance, reporting, vetting).

Observing a walk-through / demonstration of the processes by SBI SH team; and - Identification of areas for improvement and provide guidance on what steps / actions should be taken to rectify problems, if any.

3. System post implementation review: To support SBI SH to perform a post system implementation review after the system is online and operates for a certain period of time. Our review will focus on the following aspects:

Review all key control documents related to VAT:

To conduct online application control test with regards to the key functions for VAT calculation and invoicing; -

Review key master data maintenance process; - Re-perform on a batch process and compare the result to the system generated results with key scenarios defined and agreed; - Inquire and interview key users for user experience and primary feedback.

Deliverables under Phase III:

B2V rules Database; -

Compliance review report; -

System review summary of findings and suggestions if any. Set-up a hotline to reply to any queries during the Phase III.


The above stated scope of work is to be submitted in bilingual formality English and Chinese language.
